I own 51% of an LLC. My partner quit working, but owns 49%. I want to dissolve and start over. Any thoughts?
I am the thought leader of the venture, and want to continue the business. But my partner wants to continue to own 49% of the business and won't negotiate. She refuses to perform any work, and believes that she is 'fully vested' for her 12 months of unpaid work she has invested in the company. I want to dissolve the company, abandon the name, cancel the client contracts and discard the software, then start a new company from scratch. She will fight me on this. Has anyone had an experience like this, or know some of the legal ins-and-outs?
